These Terms form a binding agreement between you ("you", "User") and Vehicle express autos, llc, a limited liability company ("we", "us", "Company"), operator of the Diamond Development service ("Service"). By creating an account, accessing, or using the Service, you confirm you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old, or have a parent or legal guardian accept these Terms on your behalf. If you accept on behalf of an organization or a minor, you represent and warrant that you have full authority to do so.
The Service is a youth baseball development tracker that allows families and coaches to record player metrics, upload swing and pitch videos, and receive AI-generated analysis, recommendations, and development plans. Features and content may change from time to time.
You are responsible for (a) maintaining the confidentiality of your credentials, (b) all activity under your account, and (c) the accuracy and timeliness of any information you provide. You must promptly notify us of any unauthorized use of your account.
You agree NOT to:
You retain ownership of all videos, metrics, and other content you upload ("User Content"). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, process, reproduce, and display User Content solely as necessary to operate, maintain, secure, support, and improve the Service for you. This license terminates when you delete the User Content or close your account, subject to reasonable backup retention.
AI swing analysis, pitch analysis, bat recommendations, and development plans are produced automatically and may be incomplete, inaccurate, or unsuitable for your situation. They are provided for informational and educational purposes only and are notprofessional coaching, medical, training, or safety advice. You are solely responsible for any decisions made based on Service output.
We and our licensors retain all rights, title, and interest in the Service, including its software, models, documentation, trademarks, and branding. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its intended purpose during your active subscription.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Subscription fees are billed in advance on a recurring basis (monthly unless otherwise stated) and automatically renew at the end of each billing period until canceled. Applicable taxes are added at checkout by Paddle. Payment, billing, currency conversion, tax, cancellation, and refund mechanics are further governed by the Paddle Buyer Terms and our Refund Policy.
We may change pricing prospectively with reasonable notice; new prices apply at your next renewal.
Where offered, free trials are limited and may be modified or withdrawn at any time. At the end of a trial, your selected paid plan will begin unless you have canceled.
We work to keep the Service available but do not guarantee that it will be uninterrupted, error-free, or available at any specific time. To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE", and we expressly disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service, these Terms, or your use of the Service shall not exceed the fees you actually paid us in the twelve (12) months preceding the event giving rise to the claim. In no event shall we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including for fraud or for death or personal injury caused by our negligence.
You agree to defend, indemnify, and hold harmless Vehicle express autos, llc and its officers, employees, and contractors from and against any third-party claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.
We may suspend or terminate your access at any time, with or without notice, for (a) material breach of these Terms, (b) non-payment, (c) security, fraud, or abuse risk, or (d) compliance with law. You may cancel your account at any time. Upon termination, your right to use the Service ends; we may delete User Content after a reasonable period. Sections that by their nature should survive termination (including IP ownership, disclaimers, liability limits, and indemnities) will survive.
We may modify the Service or these Terms from time to time. Material changes will be communicated in-product or by email and become effective on the date stated. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws applicable at the registered office of Vehicle express autos, llc, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that is not subject to mandatory arbitration shall be the competent courts of that jurisdiction.
These Terms (together with our Privacy Notice and Refund Policy) constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be given in-product or by email.
